Terms and Conditions – nowa B2B Portal
Fairown Renewal OÜ, registry code 16546600, address Veskiposti tn 2/1, Kesklinna linnaosa, 10138 Tallinn, Harju maakond, Estonia, operating under the brand Nowa (hereinafter: we or us), is the owner of the Nowa business-to-business online store (nowa.shop; hereinafter: Nowa B2B Portal).
1. Essence of the Nowa B2B Portal and General Terms
1.1. The Nowa B2B Portal is an online store created and administered by us where we sell electronic devices and equipment (hereinafter: Goods) to business customers (hereinafter: you; we and you hereinafter also referred together as Parties).
1.2. These terms and conditions (hereinafter: Terms and Conditions) apply to all sales between the Parties, regardless of whether the purchase is done via the Nowa B2B Portal or otherwise (e.g., by e-mail). You acknowledge that even if Goods are purchased by other means than the Nowa B2B Portal, all relevant information about the Goods, including their quality and terms of sale, is provided on the Nowa B2B Portal.
1.3. When purchasing Goods, you confirm that you have read and agree with these Terms and Conditions. Any deviations from these Terms and Conditions must be agreed upon in writing.
1.4. We reserve the right to amend the Terms and Conditions unilaterally. In such a case, you will be notified via the Nowa B2B Portal or email.
1.5. Goods are sold only to legal persons. Any consumer protection legislation does not apply to these legal relations. By purchasing Goods via the Nowa B2B Portal, you confirm that you are a validly registered legal entity.
2. Registering a User Account
2.1. To request access to the Nowa B2B Portal, you must contact our support team at support@fairown.com and provide the necessary information required for background verification. We reserve the right to conduct a due diligence process at our sole discretion to assess your eligibility. The decision to approve or deny account registration shall be made based on, but not limited to, compliance requirements, risk assessment, and business suitability. We are under no obligation to approve an account request and may decline access without providing specific reasons. By submitting a request, you acknowledge and agree that providing inaccurate, incomplete, or misleading information may result in the rejection or suspension of your account application.
2.2. To register an Account, you must provide at least the following information, whereas supplementary data and verification processes may apply:
a) Organization’s full name, place of registration, registry code, registered address;
b) Contact details, including a valid representative’s full name, email, and other relevant details;
c) A secure password for the Account;
d) Billing details, including VAT registration number and billing contact information;
e) Shipping address details if different from billing address.
2.3. You are responsible for ensuring that all provided information is correct and updated as necessary.
2.4. You must maintain the confidentiality of your password and must not share it with any third party.
2.5. By creating an Account, you confirm that you have the authority to enter into contracts for purchasing Goods on behalf of your legal entity.
3. Placing Orders
3.1. To purchase Goods via the Nowa B2B Portal, you must place an order (hereinafter: Order) by:
a) Selecting the Goods and their quantity;
b) Indicating whether the Goods will be picked up or delivered to your specified location.
3.2. Prices marked as “VAT Margin” include VAT. Otherwise, VAT and applicable taxes are not included.
3.3. We will review and confirm the Order within one business day. Additional information may be required before acceptance.
3.4. If an Order is not confirmed within one business day, we will contact you to negotiate further terms.
3.5. Goods may also be purchased via auctions on the Nowa B2B Portal. Winning an auction legally binds you to purchase the Goods at the bid price.
4. Payment Terms
4.1. All invoices must be settled by you, the intended recipient. If a third party is paying on your behalf, prior approval and documentation are required.
4.2. A pro forma invoice will be issued upon Order confirmation.
4.3. Payment must be made within seven days unless otherwise stated.
4.4. Failure to pay on time gives us the right to cancel the Order.
4.5. Late payments incur a penalty of 0.2% per day.
5. Order Fulfillment
5.1. Orders are fulfilled within two business days after full payment.
5.2. If stock is insufficient:
a) Orders with at least 90% availability will be fulfilled to the maximum extent;
b) If availability is below 90%, we will notify you for further action.
6. Delivery
6.1. Goods are safely packed and labeled according to transport regulations.
6.2. Delivery terms:
a) EXW (our location) if you pick up the Goods;
b) DAP (your location) if delivery is selected.
6.3. Estimated delivery times:
Inside the EU: 1-2 business days (express) or 5-7 business days (economy);
Outside the EU: 2-4 business days (express) or 5-8 business days (economy).
7. Receiving the Order
7.1. Upon receiving the Order, inspect the packaging for damage in the presence of the courier.
7.2. Report damages immediately with photographic evidence and a signed delivery record.
7.3. You must inspect the Order within seven calendar days for completeness.
8. Quality of Goods
8.1. Unless labeled as “brand new,” Goods are second-hand.
8.2. The grading system on the Nowa B2B Portal defines the condition of Goods.
8.3. Laptops have batteries with a minimum capacity of 60% or as otherwise specified in the product description.
9. Warranty
9.1. A 90-day Return to Base Warranty applies if the Goods do not match the description.
9.2. Warranty claims require a completed RMA (Return Merchandise Authorization) form and photographic evidence. The RMA form is a document used to request the return or replacement of defective or non-conforming Goods, ensuring that returns are processed in accordance with these Terms and Conditions.
9.3. Goods must be returned at your expense for testing.
9.4. If a claim is validated, Goods will be replaced or refunded.
10. Liability
10.1. We are not liable for indirect or consequential losses.
10.2. Our liability is limited to the value of the affected Order.
11. Export Control
11.1. You must comply with export regulations and restrictions.
11.2. Goods may not be exported to sanctioned countries.
11.3. Breaches of export control regulations are a material breach of these Terms.
12. Governing Law and Dispute Resolution
12.1. These Terms are governed by Estonian law.
12.2. Disputes shall first be attempted to be resolved through negotiations. If unresolved within 30 days, disputes will be settled in Tartu County Court.
13. Recycling Compliance
13.1. Goods must be recycled in compliance with EU WEEE regulations.
